Before you use GPhotospace Software and/or visit the GPhotospace Site (the “GPhotospace Properties”), it is important that you carefully review the Terms and Conditions of usage set forth below.

By using the GPhotospace Properties, you accept these Terms and Conditions and agree to be legally bound and subject to them. Acceptance of the Terms and Conditions creates a binding legal agreement between you and GPhotospace Technologies Inc. that you will comply with the Terms and Conditions and use of the GPhotospace Properties only in a manner that is consistent with these Terms and Conditions. Your use of the Site is conditional on these Terms and Conditions and your compliance with them. If you do not agree to the Terms and Conditions, do not access the Site or use any of its products or services.

GPhotospace Usage Agreement

By using GPhotospace software, you agree to be bound by this Agreement.

Permitted Use of this Software and/or this Site

All images shared by users of GPhotospace remain the copyright of their respective owners and GPhotospace assumes no rights to these images.

GPhotospace may immediately terminate all licenses granted to you without notice if you fail to comply with any provision of this agreement or with GPhotospaces' Standard Terms and Conditions applicable to your use.

As a convenience, our site may link to other sites that may be of interest to you but are not under GPhotospaces' control. These links do not imply endorsement by GPhotospace and we are not responsible for the availability of or the content contained in any linked site.

GPhotospace Trademarks

You may not use the trademarks or service marks of GPhotospace without GPhotospace' prior written consent. GPhotospace and the GPhotospace logo are registered trademarks of the GPhotospace Corporation.

Indemnification

You agree to indemnify, defend, and hold harmless GPhotospace against all claims, liability, damages, costs and expenses, including reasonable legal fees and expenses, arising out of your use of GPhotospace software.

GPHOTOSPACE PROVIDES YOU WITH ITS SITE, SOFTWARE AND IMAGES ON AN "AS IS" BASIS. GPHOTOSPACE MAKES NO WARRANTY, EXPRESS OR IMPLIED REGARDING ITS SITE, ITS SOFTWARE, THE ACCURACY OF ANY INFORMATION, OR ANY RIGHTS OR LICENSES UNDER THIS AGREEMENT INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OR NON-FRINGEMENT, OR THAT THE SITE, THE SOFTWARE OR ANY SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

EXCEPT FOR ANY LIABILITY WHICH CANNOT BY LAW BE EXCLUDED OR LIMITED, NEITHER GPHOTOSPACE NOR ANY GPHOTOSPACE AFFILIATE SHALL BE LIABLE TO YOU OR ANY OTHER THIRD PARTY CLAIMING THROUGH IT FOR DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF, OR RELATING TO THE USE OF THE GPHOTOSPACE AND/OR GPHOTOSPACE PROPERTIES, WHETHER FRAMED AS A BREACH OF WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT, UPON ANY LEGAL THEORY, IN TORT, CONTRACT, FAILURE OF ESSENTIAL PURPOSE, OR OTHERWISE.

Choice of Law / Jurisdiction / Attorneys' Fees

This Software License and the relationship between you and GPhotospace are governed by the laws of the Province of British Columbia without regard to its conflict of law provisions. You and GPhotospace agree to submit to the personal and exclusive jurisdiction of the courts located within province of British Columbia. The United Nations Convention on the International Sale of Goods does not apply to this Software License.

No Waiver / Severability

No action of GPhotospace, other than an express written Waiver or Amendment, may be construed as a waiver or amendment of this Site Usage Agreement. Should any clause of this Agreement be found unenforceable, wherever possible this will not affect any other clause and each will remain in full force and effect.
